M&A REVIEW · CONFLICTS OF INTEREST

Who is pushing the acquisition, and who benefits?A sound valuation does not resolve every conflict around the deal

A financial model may be detailed while one question remains unanswered: who most wants this deal to close? When the same person introduces the target, recommends advisers and explains every exception, the board needs more than another valuation.

Relationships and commercial urgency do not establish wrongdoing. They do make it important to identify whom each key participant represents, how they are paid and which interests require disclosure.

What to check first

Establish the facts needed for the decision, then identify the missing records.

  • Target diligence and decision-maker conflict review are distinct.
  • Check the intermediary’s mandate, work and compensation.
  • A personal relationship is context, not proof of bribery.
  • Keep exceptions, accelerated approvals and dissenting views.
  • A conflicted person should not control the entire review.

1. News observation: incentives around an acquisition

On 9 October 2026, Hong Kong’s ICAC announced charges against a former listed-company chairman over alleged benefits linked to a Dalian property acquisition. The allegations remain for the court to determine. The announcement also noted the company’s assistance with the investigation.

The following governance analysis is independent of those allegations. An attractive asset and the incentives of people promoting its purchase are separate subjects for review.

2. A good target does not settle the process question

Diligence may cover land, revenue, debt and litigation without addressing how an introducer is rewarded. A genuine asset with a supported valuation can still sit within an inadequately disclosed decision process.

Build a role register covering the introducer, negotiator, adviser, approver and payee. Identify each mandate and payment basis. An introduction described as a personal favour should not remove the need to clarify any accompanying commercial interest.

3. Five questions about an intermediary

01
Mandate
Who appointed the adviser, and does the adviser represent more than one party?
02
Work
What was delivered, and can it be reconciled with meetings and documents?
03
Compensation
Which fixed, contingent or other arrangements were disclosed, and who pays?
04
Relationships
Which lawfully identified connections require further clarification?
05
Review
Who approved exceptions, withdrew from decisions or recorded disagreement?

4. Urgency should not make review a formality

A late change of adviser, fee or recipient needs a recorded reason and approval. A genuine closing deadline does not answer an unresolved disclosure question.

Counsel and transaction advisers can assess additional information, conditions or other contractual options. These involve costs and obligations. A risk reviewer should not independently cancel a transaction or equate a familiar relationship with wrongdoing.

5. Independence must come with procedural care

Where concerns involve senior people, use an appropriately authorised reviewer without the relevant conflict. Define preservation needs before allowing the subject of the review to select all the material.

Protect employees, reporting parties and individuals facing unproven allegations. Limit circulation and avoid unauthorised searches of private accounts. Access, interviews and subsequent employment or legal decisions require appropriate authority and advice.

6. How Relieved Xianyu can assist

We can organise public corporate relationships, mandates, delivery records, approval timelines and unresolved questions for boards and counsel. The report separates a relationship clue from a substantiated finding.

We do not promise private bank records, covert access or a criminal conclusion. The deliverable is a traceable factual basis and a clear account of its limits, not a predetermined culprit.

7. A final reminder: review the roles as well as the asset

A useful intermediary should be able to explain whom they serve, what they deliver and why they are paid. Asking does not reject the relationship; it makes it governable.

The board needs to know not only what an acquisition may earn, but also who is influencing the decision and what supports that influence.

Frequently asked questions
Does financial due diligence cover intermediaries automatically?
+
Not necessarily. Its scope may focus on the target’s value and financial position without covering introducers, advisers or decision-maker incentives. Review mandates, deliverables, compensation and relevant interests separately where warranted. This complements financial work and should not begin with an assumption that the intermediary acted improperly.
Does a family or personal connection prove bribery?
+
No. Such a connection can be ordinary commercial context. The relevant questions are whether it should have been disclosed, whether it affected a decision and whether unexplained benefits or procedural exceptions exist. Use lawful evidence to distinguish the existence of a relationship from proof of improper conduct. A relationship chart is not a verdict.
Is a high success fee inherently suspicious?
+
The amount alone cannot settle the question. Review the agreed service, actual work, payment conditions, recipient and commercial context. Late changes deserve a documented explanation and approval. Legal validity and enforceability require relevant professional advice. The review should identify unsupported arrangements, not assume that every contingent fee is improper.
Who should receive concerns involving a senior executive?
+
Use the company’s appropriately authorised, conflict-free governance route and obtain independent legal support where needed. Preserve original material and restrict unnecessary circulation. The person under review should not alone select the evidence or frame every question. Authority for access, interviews and reporting should be established before intrusive steps are taken.
Must an acquisition stop when a concern appears?
+
Not automatically. Separate verified facts from open questions and assess their significance with counsel and the transaction team. Further information, conditions or timing changes may be options, each with commercial and contractual consequences. The purpose of the review is to inform the authorised decision-maker, not replace the board’s judgment.
Can a risk report establish that someone accepted a bribe?
+
Public and authorised records may identify connections or unexplained activity, but criminal liability depends on evidence and legal proceedings. Reports should distinguish verified facts, inference and limitations. We do not guarantee access to private financial records or a finding of guilt. Counsel may use the organised timeline to assess lawful next steps.
